2. Our Services
Bailey & Associates provides fractional CIO and IT leadership services, IT directorship, ERP selection and advisory, digital transformation consulting, cybersecurity guidance, IT/OT integration advisory, and vendor management services — primarily to businesses in the UK manufacturing sector.
The specific scope, deliverables, and fees for any engagement will be set out in a separate Statement of Work or Service Agreement issued to the client. These Terms & Conditions apply in addition to, and should be read alongside, any such agreement. In the event of conflict, the specific agreement shall take precedence.
3. Website Use
Our website at bailey.associates is provided for general information purposes only. While we take reasonable care to keep the content accurate and up to date, we make no representations or warranties of any kind, express or implied, about the completeness, accuracy, reliability, or suitability of the information on the site.
You may access our website for your own personal use. You must not reproduce, redistribute, sell, or commercially exploit any content on the site without our prior written consent.
We reserve the right to withdraw, amend, or suspend access to the website without notice.
4. Intellectual Property
All content on this website, including but not limited to text, graphics, logos, icons, images, and downloadable resources, is the intellectual property of Leadership Services Limited or its content providers and is protected by applicable UK copyright law.
Any deliverables, reports, strategies, or materials created specifically for a client under a service agreement remain the intellectual property of Leadership Services Limited until full payment has been received, at which point ownership transfers to the client as agreed in writing.
5. Confidentiality
We understand that in providing our services we will have access to confidential information about your business, systems, and operations. We undertake to keep all such information strictly confidential and to use it only for the purposes of delivering the agreed services.
Clients are similarly requested to keep confidential any methods, frameworks, or proprietary approaches shared by Bailey & Associates in the course of an engagement.
Formal confidentiality obligations for client engagements will be set out in the relevant Service Agreement or a separate Non-Disclosure Agreement where required.
6. Limitation of Liability
To the fullest extent permitted by law, Leadership Services Limited shall not be liable for any indirect, incidental, special, or consequential loss or damage arising out of or in connection with our services or the use of this website, including but not limited to loss of profits, loss of data, or business interruption.
Our total aggregate liability to any client in connection with a service engagement shall not exceed the total fees paid by that client to us in the three (3) months immediately preceding the event giving rise to the claim.
Nothing in these Terms & Conditions excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited under English law.
7. Payment Terms
Invoices are issued monthly in advance unless otherwise agreed in writing. Payment is due within 30 days of the invoice date.
We reserve the right to charge interest on overdue invoices in accordance with the Late Payment of Commercial Debts (Interest) Act 1998, currently at 8% above the Bank of England base rate. We also reserve the right to claim reasonable debt recovery costs where payment remains outstanding.
We reserve the right to suspend services if invoices remain unpaid beyond 30 days, without prejudice to any other rights we may have.
8. Termination
Either party may terminate a service engagement by providing written notice in accordance with the terms set out in the relevant Service Agreement. In the absence of a specific notice period, 30 days' written notice is required.
Upon termination, all outstanding fees for work completed up to the termination date become immediately due and payable.
We reserve the right to terminate an engagement immediately in the event of material breach by the client, including non-payment of invoices.
9. Governing Law
These Terms & Conditions and any disputes or claims arising out of or in connection with them (including non-contractual disputes or claims) shall be governed by and construed in accordance with the laws of England and Wales.
The courts of England and Wales shall have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Terms & Conditions.
10. Changes to These Terms
We may revise these Terms & Conditions from time to time. Any changes will be published on this page with an updated "last updated" date. We encourage you to review these terms periodically.
For active service engagements, any material changes to the agreed terms will be communicated to clients in writing and will only take effect upon mutual written agreement.
